Cowrie Brings Entity Structuring and Regulatory Compliance Expertise to U.S.-Based Decentralized Organizations

Founded by David Kerr and Justin Childres, Cowrie is a crypto-native advisory firm specializing in domestic tax compliance and entity structuring. Cowrie was established to address complex issues and support the increasing demand for domestic crypto projects seeking to operate and innovate in the United States.

Based in Cheyenne, Wyoming, Cowrie is particularly experienced in the operational requirements for Unincorporated Nonprofit Associations (UNAs) and Decentralized Unincorporated Nonprofit Associations (DUNAs), under the recently enacted Wyoming DUNA Act.

Organized into two distinct service offerings, Cowrie Advisory Services assists clients in developing systems capable of meeting their regulatory obligations that work in concert with the project design and Cowrie Administrator Services that actually joins token projects utilizing UNAs or DUNAs as an Administrator responsible for performing a number of obligations such as preparation of financial statements and tax returns.

Cowrie Advisory Services grounds each client engagement with a deep technical understanding of protocol architecture combined with a highly experienced team in matters of accounting and taxation, enabling compliance strategies customized to each protocol's unique design constraints.

Cowrie offers a custom technical onboarding process, which includes analysis of protocol design, compliance risk identification and DUNA formation. Cowrie leverages its proprietary blockchain analysis tools to integrate protocols' technical functions into planning decisions, providing industry-leading insights to solve complex entity structuring challenges.

The combination of significant compliance knowledge and deep project understanding allows for tailored strategies that complement the project and utilize regulatory compliance requirements to improve the overall offering.

Cowrie - Administrator Services

Cowrie Administrator Services handles financial, tax and administrative operations for DUNAs. The services offered consist of designing compliance frameworks, reporting tax information, analyzing onchain financial transactions using in-house automated tools, and preparing special purpose financial statements to fulfill tax requirements.

Cowrie's office building houses its clients through its registered agent services and provides a welcoming environment for in-person meetings in its conference room and meeting centers.

Cowrie has built its practice from the ground up to meet the specific needs of decentralized organizations operating in the U.S. The focus is execution, and Cowrie keeps DUNA operations compliant and auditable from day one.
